Terms, privacy
and risks.
Last updated Oct 28, 2026
This page sets out the terms for using starcap.xyz, how Starcap Incorporated handles your information, and the main risks of what we offer. Commitments on the launchpad are also covered by the launchpad terms you sign in your wallet, and each token by its own documents.
Terms of Use
These terms apply to everyone who visits or uses starcap.xyz, including Starcap Markets and the launchpad.
- Who we are. starcap.xyz is operated by Starcap Incorporated ("Starcap", "we", "us"). By using the site you agree to these terms. If you do not agree, do not use the site.
- Information only. Everything on the site, including research, valuations, company facts and figures, is for information. It is not an offer to sell, or a solicitation of an offer to buy, any security, token or other instrument in any place where that would be unlawful, and it is not investment, legal, tax or accounting advice. Company figures come from public reporting and estimates and may be incomplete or out of date.
- Who can use Starcap Markets. To use Starcap Markets or the launchpad you must be at least 18, have legal capacity, and not be a US person, a citizen or resident of a sanctioned jurisdiction, or a Prohibited Person (anyone subject to US, EU, UK or UN sanctions, or acting for one). You are responsible for making sure that using the site is lawful where you are. We may restrict or refuse access to anyone, anywhere, at any time.
- Launchpad and tokens. Commitments on the launchpad are governed by the launchpad terms you sign with your wallet before your first commitment, and each token by its own documents. If those terms conflict with these, those terms apply to that commitment or token. Rounds that graduate carry a launchpad fee, which Starcap will confirm; once a token trades, trades carry the token tax and pool fee set out in its documents.
- Verification. The confirmations you give us, such as not being a US person, are self-certified. We may check them at any time. We may ask you for identity documents, proof of address, tax residency, source of funds or other information, screen you and your wallet against sanctions lists and blockchain analytics, and require this before delivery, payout, redemption or a refund. If you do not provide what we ask for, or a confirmation proves untrue, we may refuse, suspend, cancel or return a commitment, and withhold delivery until the matter is resolved, as the law allows.
- Your wallet. You connect your own self-custody wallet. We never hold your keys and cannot reverse a transaction. You are responsible for your wallet, its security and every transaction you sign, including sending the right asset, on the right network, to the right address.
- Third-party services. The site relies on services we do not control, including Robinhood Chain, wallet providers, WalletConnect, Relay, Uniswap, price and chart providers, and hosting. They have their own terms. We are not responsible for their availability, accuracy or failures.
- Using the site properly. Do not misuse the site: no attempts to break or overload it, get around access controls or eligibility checks, scrape it at scale, use it for unlawful purposes, or give us false information.
- Names and content. The site's content belongs to Starcap or its licensors. Company names, logos and images are used to identify the companies discussed. Starcap is not affiliated with, endorsed by or sponsored by Blue Origin, Varda Space, Starcloud or any other company named on the site unless we say so.
- No warranties. The site is provided as it is and as available. We do not promise that it will be uninterrupted, error free or secure, or that any information on it is complete or current.
- Liability. To the extent the law allows, Starcap and its affiliates, directors, officers and service providers are not liable for any indirect or consequential loss, loss of profit or data, or any loss caused by your wallet, a network, a smart contract, a third-party service or events outside our control. Nothing in these terms limits liability for fraud or willful misconduct.
- Indemnity. You indemnify Starcap and its affiliates, directors, officers and service providers against any loss, claim or cost arising from your use of the site, your breach of these terms or any false information you give us.
- Changes and law. We may change these terms by posting a new version here, with a new date. These terms are governed by the laws of the jurisdiction in which Starcap Incorporated is incorporated, and its courts have exclusive jurisdiction over any dispute.
Privacy Policy
What we collect, why, who sees it, how long we keep it and what you can ask us to do with it.
- Who is responsible. Starcap Incorporated is responsible for the personal information collected through starcap.xyz.
- What you give us.
- Register-interest sign-ups: email, Telegram handle and the company and amount you are interested in.
- Launchpad: name, email, Telegram handle, the launchpad terms you accept and the wallet signature that records them.
- Support requests: your message, how to reach you, and the wallet, round and transaction it is about.
- Verification, when we ask for it: identity documents, proof of address, tax residency, source of funds and similar information.
- What we collect from public blockchains. Your wallet address, the transactions you send to Starcap's launchpad multisigs and your token balances. Blockchain data is public by nature and cannot be changed or deleted by us.
- What is stored on your device. An access cookie for Starcap Markets (30 days), a cookie for investor documents (until you close the browser), and your eligibility confirmation and wallet connection, saved in your browser's storage. We do not use advertising cookies or sell data to advertisers. Our hosting provider keeps short-lived server logs, such as IP address and browser type, for security and troubleshooting, and we use IP addresses for a short time to limit spam on our forms. Fonts are loaded from Google Fonts, which receives your IP address when a page loads.
- Our right to request information and verify you. We may collect additional information from you at any time to verify your identity and eligibility, to meet anti-money-laundering, sanctions and tax obligations, or to prevent fraud. In particular, if we have reason to believe a confirmation you gave us is untrue, for example that you are a US person after confirming you are not, we may require you to complete KYC before we deliver, pay out, refund or continue with any commitment. We may also screen your wallet and details against sanctions lists and blockchain analytics providers.
- Our legal bases. We use your information to take and deliver your commitments under the launchpad terms (performing our agreement with you), to meet anti-money-laundering, sanctions and tax obligations (legal obligation), and to keep the site secure, prevent fraud and answer your requests (our legitimate interests). Where the law requires consent, we ask for it.
- Why we use it. To run the launchpad and record your commitments, deliver allocations, process refunds and payouts, contact you about your commitment or the deals you registered for, answer support requests, verify eligibility, meet legal and regulatory obligations, prevent fraud and misuse, and keep the site working and secure.
- Who we share it with. Only as needed for those purposes:
- Records and team messaging: a workspace tool where we keep investor, commitment and support records, and a team messaging group that alerts us to new commitments, refunds and support requests.
- Hosting: the provider that serves the site and runs its server functions.
- Wallet connection and trading: wallet connection services and the trade routing service that receive your wallet address when you connect or trade.
- Blockchain and market data: node providers that receive your wallet address to read balances and transactions, and chart and price data providers.
- Verification: identity verification and sanctions or blockchain analytics providers, when we use them.
- The issuer and vehicles involved in delivering your allocation, our banks, auditors and professional advisers, and authorities or courts where the law requires.
- Where it is held. Our providers may store and process information in countries other than yours, including the United States. Where the law requires it, we rely on safeguards such as the providers' standard contractual terms for those transfers, and we use providers that protect it with appropriate security.
- How long we keep it.
After that we delete or anonymize it, unless a legal claim, investigation or regulatory request requires us to keep it longer.Information How long Launchpad details, signed terms, commitments, transactions and any verification records For as long as you hold a commitment or token with us, and then at least five years after that relationship ends, or longer where the law requires. Support requests about a commitment, refund or payout As long as the commitment records above. Other support requests Up to 24 months after the request is closed. Register-interest sign-ups that did not lead to a commitment Until you ask us to remove you, or 24 months after our last contact, whichever comes first. Server logs A short period set by our hosting provider, currently about a day. - Security. We limit access to the people who need it and use providers with strong security. No system is perfectly secure, so we cannot guarantee it.
- Your choices and rights. You can ask us to tell you what we hold about you, correct it, delete it, or stop contacting you, by writing to the address below. We will do so unless the law requires us to keep it, for example the commitment and verification records above. Depending on where you live, you may also be able to complain to your local data protection authority.
- Age. Starcap Markets is not for anyone under 18, and we do not knowingly collect their information.
- Changes. We may update this policy by posting a new version here, with a new date.
Risk disclosure
The main risks of committing to the launchpad or holding a Starcap token. They are not the only ones.
- You can lose everything. Private-company exposure and digital assets are high risk. Only commit what you can afford to lose in full.
- No shares in your name. Each token tracks an interest in a vehicle that holds shares. You do not own shares, have voting or information rights in the company, or have a claim against the company itself.
- Payout depends on an exit. Holders are paid only if the company lists or is acquired, after any lock-up. None of the launchpad companies has announced an IPO. If there is no exit, there may be no payout.
- Deals may not close. A round may not graduate, a purchase may fall through or be delayed, and private-company transfers can be restricted or refused by the company.
- Prices move. Once a token trades, it can trade above or below the value of the underlying shares, and liquidity can be thin.
- Technology risk. Stablecoin, network, wallet, bridge and smart-contract failures, hacks or errors can cause loss, and onchain transactions cannot be reversed.
- Regulation. Rules for tokenized assets are changing and may restrict what Starcap can offer, where, and to whom, or affect a token's value. Starcap is not regulated by a financial services authority, and no compensation scheme applies.
- Tax. You are responsible for your own taxes. Nothing on the site is tax advice.
